(76328) CERTIFICATE OF FICTITIOUS PARTNERSHIP Know All Men by These Presents:

That Mitch J. McFarlin and John E. Fryrear are associated as partners in the business of acquiring oil and gas properties in the City of Oklahoma City, Oklahoma County, Oklahoma, under the firm name of Cornerstone Oil Properties; that said partnership is a general partnership, dating from the 2nd day of January, 1986; that Mitch J. McFarlin resides at 2905 Windsor Blvd., Oklahoma City, Oklahoma 73127; John E. Fryrear resides at 4017 Morrison Ct., Norman, Oklahoma 73072; and that there are no other part ners belonging to said partnership.

Dated this 2nd day of January, 1986.
