The Complete Guide to Mergers and Acquisitions: Process Tools to Support M & A Integration at Every Level

Synopsis

Mergers and acquisitions (M&A) experts Tim Galpin and Mark Herndon present an updated and expanded guide to planning and managing the M&A process. This comprehensive book is unique in providing the tools to address both the human and operational sides of integration. Based on the authors' consulting experience with numerous Fortune 500 companies, this resource will help organizations capture deal synergies more quickly and effectively. Augmenting their step-by-step advice with helpful templates, checklists, graphs and tools, Galpin and Herndon provide sound guidance for successfully integrating different processes, organizations, and cultures. The authors also address pre-deal do's and don'ts, people dynamics, common mistakes, communications strategies, and specific actions you can take to create measurable positive results throughout the integration process. The revised edition not only updates case studies and presents recent integration research, but it also adds new tools.

Excerpt

After a brief lull during 2002 and early 2003, merger and acquisition (M&A) deal volume is again at high levels. Unfortunately, management is still struggling to demonstrate the ability to guide its deals through the rocky waters of postdeal integration. Integration difficulties are often due to the “people” side of the deal and occur as a result of the change dynamics created by the merger. These dynamics heighten the resistance that people usually bring to the successful integration of two companies. Moreover, much of the needed talent—a key value driver for many deals—voluntarily leaves the organizations that are merging, and the departure of this resource also serves to derail the deal before it can succeed.

THIS BOOK’S PURPOSE AND AUDIENCE

We have written The Complete Guide to Mergers and Acquisitions: Process Tools to Support M&A Integration at Every Level as a pragmatic “how-to” text designed to aid integration leaders and participants (at the enterprise level and at the functional or divisional levels) in realizing the advantages that a merger or acquisition can create. Its purpose is to provide executives and managers alike with tools, templates, and a proven process for efficiently and effectively combining two organizations. This revised edition has added to the original content in several key areas, including recent cross-industry research on the current state of M&A integration, case examples and results achieved by companies who have managed integration well, and discussion of how to handle “merger repair” situations resulting from integrations that have lingered or that have not been managed well.
