Every business requires capital at some points in its development. For many managers, financing activities can cause a good deal of disruption to the day-to-day operation of the business and divert their valuable attention to the seemingly endless stream of requirements imposed under the securities laws, as well as by prospective investors and lenders. This book, and the choice of topics herein, arose from the author's experience in dealing with managers, entrepreneurs, and investors in a number of different situations, attempting to ease their frustrations and explain the relationship between legal concerns and the information already being generated by firms in the course of defining and executing their unique business strategies. An attempt has been made to highlight the importance of thoughtful disclosures, as well as the commonality of contractual elements that run across each of the transactions described in the book.

The author would like to acknowledge the hundreds of investors, managers, lawyers, and others who unwittingly contributed to his education as a financing specialist. While the book contains no anecdotal information, its rigor and structure is drawn from observations of each of these actors.
