This study was accepted in 1960 in partial fulfillment of the requirements for the Ph.D. Degree at the Massachusetts Institute of Technology. A few minor revisions have been made, for the most part consisting of qualifications of previous conclusions. However, Chapter 2 has been expanded and revised.

Many people have contributed to the completion of the study. Unfortunately, I will not be able to acknowledge everyone. I am indebted to Professor Morris Adelman, my thesis supervisor, for his comments and his criticisms of the first draft. Special thanks are extended to Professor Robert Bishop for directing my attention to the franchise system, and to Professor Sidney Alexander for reading a section of the thesis and clarifying several obscure points.

I would be guilty of a serious omission if I did not express my thanks to Mr. Paul Herzog, Director of Research of the National Automobile Dealers Association for rekindling my interest at a time when I was about to drop "automobile distribution" from the list of serious thesis topics. His work in preparing and administering the dealer questionnaire deserves special thanks.

I would like to express my gratitude to the many individuals, both inside and outside of the auto industry, who, at one point or another, discussed distribution problems with me, or supplied me with data or answered my many letters. Often, they did not agree with me, but they were as helpful as they could be. At times I wondered whether my thesis or my thesis correspondence would be longer--a testimony to the sympathetic response my letters received. I am also indebted to the many dealers who completed and returned the dealer questionnaire.
