This work is aimed at financial lawyers whose advice is sought in connection with the structuring of financial transactions or the documenting of agreed proposals. The intention is to provide such lawyers with background on the concepts that underpin some of the more difficult and important issues in financial law.

It does not set out to be a definitive work but to provide lawyers with enough information to form their own understanding of the concepts and issues and apply that to new transactions and arrangements.

It provides an interesting overview of the topics covered, although, inevitably, as it is written by an English lawyer, it deals in the main with English law and the common law approach to the financial markets. As a result, while it will be of interest to English qualified lawyers, it may also prove to be useful to lawyers qualified in other jurisdictions, particularly civil law jurisdictions. For them it may help to set in context the approach of those with whom they deal in England on cross-border transactions.

The first, and in some ways the most interesting, areas covered are that of money and payment as there is little case law on money. It includes an interesting analysis of various topics, such as the euro, exchange control and freeze regulations. In the context of the current financial difficulties of some countries in the Eurozone, this is one of the most topical areas covered.

The work then goes on to consider some core legal concepts that are different in common law and civil law countries, in particular personal and property rights and intangibles as property. …
