Advisory Firm Favors Williams Merger

TULSA - Williams Cos. Inc. on Wednesday said that Institutional Shareholder Services recommended that Williams stockholders vote for the merger agreement with Dallas-based Energy Transfer Equity.

Shareholders are scheduled to vote at a meeting in Tulsa on June 27.

ISS is an independent proxy voting and corporate governance advisory firm. It said in a report Wednesday that a vote for the proposed transaction is warranted despite the continued decline in commodity prices.

Williams has mailed a letter to stockholders recommending that they vote for the merger agreement.

In a lawsuit filed in May, Energy Transfer Equity said it was entitled to terminate its proposed merger with Williams because Williams violated the deal's terms.

Energy Transfer Equity alleged that Williams executives changed their opinions of how beneficial the deal would be for their shareholders. …
