Employment Legal Consultation Plan

BROWN & ROOT EMPLOYMENT LEGAL CONSULTATION PLAN

Brown & Root Holdings, Inc., a Delaware corporation, hereby establishes this Employment Legal Consultation Plan for its employees and the employees of its subsidiaries and affiliates, as set forth below.

The Plan hereby established has been approved by the appropriate officers of Brown & Root. The Plan is not intended to qualify under Section 120 of the Internal Revenue Code of 1986, as amended from time to time. Therefore any benefits received under this plan may be taxable to the employee or other recipient.

The terms and conditions of the Plan are as follows:


1. Purpose

The purpose of this Plan is to provide certain specified legal services for all Employees of Brown & Root who have a Dispute with the Company which is subject to the Brown & Root Dispute Resolution Plan, the provisions of which are incorporated herein by reference. This Plan is established and shall be maintained for the exclusive benefit of its Participants.
